Hotelbeds Spain, S.L.U., trading under the registered trademark "Destination Services", is a legally constituted Spanish company which operates as a wholesale-retail travel agency, based in Palma de Mallorca (Spain), Camí de Son Fangos No. 100, Complejo Mirall Balear, Tower A, 5th floor, 07007, with license number GCMD-000422 and tax identification code No. B-57723462 and registered in the Mercantile Register of Palma de Mallorca on 4 August 2011, page PM-68087, volume 2470, sheet 202, 1st inscription. (hereinafter “Hotelbeds”), as the controller of your data and a company of Hotelbeds Group, through this website (hereinafter, the “Website”).

HOTELBEDS shall be able to offer accommodation services, transfer, excursion, ticket, group special offers, car rental and other destination services (Collectively referred to as 'travel services';) through HOTELBEDS website (www.destinationservices.com), subject to established contract conditions and general conditions stated on the web and according to prices and cancellation conditions displayed when making each reservation, depending on prevailing conditions, availability and other factors.

HOTELBEDS travel services shall be sold exclusively to travel organizers (hereinafter referred as CLIENT) and by visiting, using or ordering from the website www.destinationservices.com, the CLIENT expressly consents and agrees to be bound by HOTELBEDS Terms and Conditions, legal statement and privacy policy, and to follow all applicable laws and regulations governing this website and reservation transacted via HOTELBEDS website. The website will inform the CLIENT about the procedure for making reservations.

This legal statement and privacy policy is an integral part of our website, which cannot be separated from the general contracting conditions, operations or reservations. The use of our website indicates complete acceptance, without exclusion, of the conditions contained in these clauses and is proof of express consent to contract the service booked. Therefore, any booking that the CLIENT makes through this website is conditional on the CLIENT accepting these General Terms and Conditions and the legal statement and privacy policy (the 'Terms and Conditions').

The CLIENT hereby shall commit to
• Only use the website to make legitimate enquiries or bookings for the CLIENT or any other person for whom the CLIENT is legally authorised to act.
• Warrant that its user of the codes will be at least 18 years of age or over and have legal capacity to use the HOTELBEDS site and to create a legally binding contract for the CLIENT.
• Warrant that all personal information submitted during the bookings process will be correct and CLIENT accepts financial responsibility for all transactions made under CLIENT name or account.

The CLIENT shall not: 
• post, transmit or disseminate any information on or via this website which is or may be harmful, obscene, defamatory or otherwise illegal, or may cause an infringement of the rights of any other;
• make any other unauthorised, false or fraudulent booking; 
• use any software, routine or device to interfere or attempt to interfere electronically or manually with the operation or functionality of this website including but not limited to uploading or making available files containing corrupt data or viruses via whatever means; 
• deface, alter or interfere with the appearance and layout of this website or the underlying software code; 
• take any action that imposes an unreasonable or disproportionately large load on this website or related infrastructure; 

Without prejudice to any of HOTELBEDS other rights, HOTELBEDS reserves the right to deny the access to this website and/or cancel the bookings wherever and whenever HOTELBEDS believes (in HOTELBEDS absolute discretion) that the CLIENT is in breach of any of the HOTELBEDS Terms and Conditions and Privacy policy. 

PRIVACY POLICY 

At Hotelbeds Group, we are concerned about your privacy. This policy describes what, why and how we collect and use your personal data, how we protect it and how you can get in touch with us.

1. What are the purposes and lawful basis of the processing of your data carried out by Hotelbeds? 
The data that Hotelbeds requests or may request from you is necessary for the purposes described in this policy and failure to provide it may lead Hotelbeds to be unable to contact you or manage your requests. 

Hotelbeds reserves the right not to respond or process requests that do not include all the data that is requested.

By providing Hotelbeds with your data, you guarantee the veracity of the same and accept that Hotelbeds may periodically request the review and update of personal data that you keep.
On this Website, you can find information that may be useful in order to learn about the services offered by Hotelbeds. i.    Performance of a contract between you or your Company and Hotelbeds or application of pre-contractual measures:
a.    Manage the contractual relationship with you or your Company and ensure the provision of the contracted products and services, which includes both the management of reservations and services offered by Hotelbeds, as well as the service quality, billing, collection and withdrawal of the same. Said services might include accommodation services, transfer, excursion, ticket, group special offers, car rental and other destination services.
b.    Manage the commercial relationship with potential clients, which includes attending to requests for information on products and services offered by Hotelbeds, invitation to events hosted and/or with the participation of Hotelbeds and other related actions and services.
c.    Manage and process any legal claims, out-of-court claims and insurance claims received by Hotelbeds in relation to you.

ii.    Legitimate interests of Hotelbeds:
a.    Carry out commercial communications related to products and services similar to those contracted by you or your Company. In this case, the legitimate interest of HOTELBEDS would be to carry out direct marketing activities aimed at its clients, in accordance with Recital 47 of the General Data Protection Regulation. 
b.    Conduct surveys and market studies to know the quality of our products or services and the preference of our clients. The legitimate interest of Hotelbeds is to improve the commercial offer and experience to its clients.
c.    Manage and administer the Website, as well as improve the browsing experience of the Website. The legitimate interest of Hotelbeds is to improve the efficiency of the Website.

2. Data processing coupled with mere navigation through the Website
In order to improve our services, to provide you with more relevant content and to analyze how visitors use this Website, we may use technologies, such as cookies or tracking software. Please be aware that in most cases we will not be able to identify you from the information we collect using these technologies. 
Regarding the use of cookies on this Website, please note that the same are small pieces of information stored by your browser on your computer's hard drive. - Third parties to which Hotelbeds is obliged to transmit information, such as public authorities, in order to comply with the requirements of said authorities and the applicable regulations, as the case may be.

- Officers, agents, suppliers, partners or subcontractors insofar as reasonably necessary for the purposes as set out in this privacy policy or whom we have appointed to process information on our behalf or manage aspects of our Website. 

- Companies that are part of the Hotelbeds Group, with the purpose of being able to properly manage and optimize your contractual relationship as a result of the centralization of administrative and computer processes existing within the Hotelbeds Group (whose relation you may consult on our webpage www.destinationservices.com)

Also, we inform you that the Hotelbeds Group can count or collaborate with companies outside the European Union. In those cases, Hotelbeds, as a company of Hotelbeds Group, requires that these companies comply with the measures designed to protect personal data established in a binding contract, except in cases where the European Commission has determined that the country where said companies are located provide for an adequate level of protection of personal data.

4. How does Hotelbeds protect your data?
Hotelbeds has appropriate policies and has put into place technical and organizational measures to safeguard and protect your personal data against illegal or unauthorized access, loss or accidental destruction, damage, use and illegal or unauthorized disclosure.

At Hotelbeds, we will also take all reasonable precautions to ensure that our staff and employees who have access to your personal data have received adequate training.

In any case, please note that any transmission of data through the Internet is not completely secure and, as such, must be carried out at your own risk. Although we will do our best to protect your personal data, Hotelbeds cannot guarantee the security of the personal data transmitted through this Website.

5. For how long does Hotelbeds keep your data?
The retention period of your data will be determined according to the duration of your contractual relationship with Hotelbeds and the deadlines defined by law. In this sense, the criteria that Hotelbeds uses to set the terms of retention of your data have been determined in accordance with the requirements established in the applicable legislation, regulations and guidelines, as well as the operational requirements of Hotelbeds related to the correct management of the relationship with its customers. Whenever you give your consent, your data will be kept up until a moment when you revoke said consent.

6. How can you exercise the rights over your personal data?
You may exercise your rights of access, rectification, erasure, objection, limitation and portability, as well as to withdrawal at any time the consents you have previously given us, by mail to Hotelbeds S.L.U., at Cami Son Fangos Nº 100 Torre A - Planta Baja - Puerta 3a, 07007 Palma de Mallorca (Spain) or by sending an email to dataprotection@hotelbeds.com for response to data subject rights’ exercise. Furthermore, if appropriate, you can lodge a claim to the Spanish Data Protection Authority, especially if you consider that we have not adequately addressed your rights.

CONFIDENTIALITY 

Confidential information shall be deemed as any information or data, whether or not it has been drawn up in hard or soft copy or in any other form that is already in use or that could be invented in the future, which each party notifies or provides to the other or that the latter may have access to with or without the knowledge and/or express consent of the other party. 

Therefore, confidential information shall be deemed as the following and will include, but not be limited to: any data bases and prototypes created from the documents provided, proprietary management software, computer system passwords, information on users, telephone numbers, fax numbers, email addresses, addresses of offices, agencies, departments and headquarters, computer programs, copies, routines, sources, functional and organisational analysis, know-how, formulae, processes, ideas, inventions (whether patentable or not), financial data and development plans, strategies, the contents of any bids that may be made and any other supporting documents, data or material belonging to HOTELBEDS or available in its website that the CLIENT may have access to, telephone numbers, fax numbers, email addresses, addresses of residences, signatures, ID or passport copies, credit card details, personal preferences, disabilities, or any special dietary or religious requirements or any other information related to the final consumer which the accommodation establishment or service supplier may need access to for the sole purpose of completing CLIENT reservation and for the purposes of associated administration. 

Under no circumstances may the following be considered as confidential information: 
• Any information that is contained in public bibliography or that may become public knowledge, unless it becomes public knowledge due to a breach of the agreement by one of the parties. 
• Any information or know-how provided by third parties. 
• When disclosure is required by law. 
• Disclosure of any information at the request of Courts or Tribunals 
• Information referring to economic data or any other kind that must be submitted to the State, local or autonomous authorities due to tax or labour requirements and administrative contracts. 

NON-DISCLOSURE 
Total or partial disclosure of any of the confidential information to which the CLIENT may have access to third party individuals or companies by means of contracting and performance of its services shall be expressly prohibited. 

The CLIENT guarantees that its employees, customers, suppliers, sub-contractors and any other parties related to the agreements between HOTELBEDS and the CLIENT fulfil the confidentiality commitments contained in this document. The required measures must be adopted for such purpose and the CLIENT shall be responsible for any claim or damages caused by the non-fulfilment of this obligation. 

The CLIENT undertakes to fulfil these confidentiality commitments from the date this agreement is signed and to continue to do so whether the relationship between the parties is in force or not. 

OWNERSHIP AND OTHER RIGHTS OWNERSHIP 
The CLIENT acknowledges and agrees that any element and intellectual property rights pertaining thereto (including without limitation all commercial names, trade names, copyrights, logos, patents, trademarks, service marks and trade secrets) in HOTELBEDS website (including without limitation its terms and conditions, rules, policies and operating procedures, and HOTELBEDS' Confidential Information -as defined above-), received or acceded are the exclusive property of HOTELBEDS or its suppliers. 

The CLIENT acknowledges and agrees that, except hereby stated, they shall not acquire any right or interest in the information or data acceded and that HOTELBEDS shall remain the sole owner of the information or data including, but not limited to, all patent, copyright, trademark, trade secret, trade name, contract, industrial design, and other property rights pertaining thereto, anywhere in the world. All trademarks, copyright, logos, database rights and other intellectual property rights in the materials on this website (as well as the organisation and layout of this website) together with the underlying software code are owned by HOTELBEDS or its suppliers. 

The CLIENT and any user may not use, copy, modify, alter, publish, broadcast, distribute, sell or transfer any material on this website or belonging to HOTELBEDS or the underlying software code whether in whole or in part without HOTELBEDS' prior written permission. 

In the event that there is any misuse of any Intellectual Property owned by HOTELBEDS (including without limitation all trademarks, service marks, logos, commercial names, etc.) without HOTELBEDS' consent or license; all bookings and sales will be stopped, and HOTELBEDS reserves its right to take any legal action pursuant the protection of its legitimate interest.

CONTENTS 
The CLIENT hereby commits to not copy, reproduce, modify, transmit, sell, lease, market nor disclose to third parties the contents (and/or any of its elements) provided/displayed by HOTELBEDS. 

The CLIENT shall not be held liable for inaccuracies or errors in the accommodation contents or any of its elements. 

The CLIENT acknowledges and agrees that the sole disclosure of or access to the information or data available in this website does not constitute an offer by HOTELBEDS for the sale, license or other transfer of such elements. 

CONTENTS DISCLAIMER 
The information on this site is posted in good faith but HOTELBEDS cannot guarantee that it is completely free from inaccuracies and typographical errors and does not accept liability for any error or omission on this site. The information on the hotels and other services provided by HOTELBEDS is accurate as possible given that the data is provided by the service supplier; HOTELBEDS is not liable for any inaccuracies in the information if shown to be different from that provided by the service supplier.

NEWSLETTERS 

HOTELBEDS does not automatically subscribe users to our newsletter. In order to receive this, the CLIENT has the option to subscribe and be informed by email of news and hotel offers. If the CLIENT would like to unsubscribe from our newsletter at any time, CLIENT can advise HOTELBEDS on the unsubscribe option of our website.
